End-User License Agreement — Version 3

Licensor: Orange Man, the trade name under which the Products are offered ("we", "us", "our"). Applies to: the software products named in Part B (each a "Product", and for the Product you use, "the Software"): Caption Jack, Jack's Litterbox, Jack's Smooth Sailing and Jack's Favourites, extensions for Adobe Premiere Pro. Version: 3. Published: 20 October 2026. Effective: for you, from the moment you accept it (see "Versions" in A15).

This agreement has two parts. Part A applies to every Product. Part B has one section per Product with the terms that apply only to that Product.

The Products are independent products. They are not affiliated with, sponsored by, or endorsed by Adobe Inc. "Adobe", "Premiere Pro" and related marks are the property of Adobe.

Part A — Terms for all Products

A1. How this agreement works

Part A applies to every Product. A Product's own section in Part B adds to Part A for that Product. A Product section prevails over Part A only on the matters it expressly regulates, such as the form of the licence, the price, and notices specific to that Product. A Product section never extends any warranty or liability beyond A10 and A11.

A2. Licence grant

Subject to your compliance with this EULA and full payment of any price you agreed to pay, we grant you a non-exclusive, non-transferable, revocable licence to install and use the Software for your own (including commercial) video work.

For a Product that is activated with a licence key, unless its Product section says otherwise, the licence is for one individual user: the person who obtained the key via Gumroad or, if a company or other organisation obtained it, one person that organisation designates. That user may use it on up to 2 computers owned or controlled by that same user (or by that organisation). One licence key = one purchase = up to 2 activations in use at a time, by that one user. Other people, including people in the same organisation, need their own licence unless a separate multi-user/team licence is purchased.

Moving to a new computer. If you replace a computer, reinstall its operating system, or otherwise run out of activations while using no more than 2 computers, contact us (A16). On reasonable request we will help you move your licence, for example by freeing an activation or by providing a replacement licence key. A replacement key takes the place of your original key: together they are one licence, so the limit of 2 computers in use at the same time still applies, and a refund or chargeback of the original purchase voids the replacement key too. We may decline a request that indicates the key is being shared or used beyond A2.

A3. Free Products and free licences

If you obtained a Product or a licence free of charge (a free Product, a free trial, a promotion or a giveaway), this EULA applies to it in the same way. Where this EULA refers to the amount you paid, that amount is what you actually paid, which may be zero. The refund terms in A13 apply only to an actual payment.

A4. Restrictions

You may not:

  • share, resell, sublicense, rent, lend, transfer or redistribute the Software or your licence key, or publish either anywhere others can obtain it;
  • exceed the activation limit, or use one key on more computers or by more users than A2 or the Product section allows;
  • modify, adapt, translate, or create derivative works of the Software itself (this does not restrict the content you create with it);
  • use the Software, or anything derived from it, to build, train, or assist a competing product, service, or machine-learning model;
  • reverse-engineer, decompile, disassemble, deobfuscate, or otherwise attempt to derive the source code, except to the limited extent that mandatory applicable law (e.g. EU interoperability rules) expressly permits and cannot be excluded by contract;
  • circumvent, disable, or tamper with a licence check, activation, or any protection mechanism;
  • remove or alter any copyright, trademark, or other proprietary notices.

A5. Ownership and your content

Each Product, its code, templates, artwork, and its name and logo are owned by us or our licensors and protected by copyright and other laws. Third-party components (A6) remain the property of their authors and are licensed under their own terms. This is a licence, not a sale; all rights not expressly granted are reserved. Your content (the transcripts, captions, videos and other work you create with a Product) remains entirely yours; we claim no rights to it. Any feedback, suggestions or ideas you give us about a Product may be used by us freely and without compensation or obligation.

A6. Installation and third-party components

What the installer changes. Each Product's installer turns on Adobe's "PlayerDebugMode" setting. Adobe applications need this setting to load extensions that are installed outside Adobe's own marketplace; it also lets other extensions installed that way load. The setting is turned on for your user account, unless the Product section says otherwise. A Product section may list further changes for that Product.

Third-party components. Products include third-party components, such as Adobe's CEP interface library (CSInterface.js, with Adobe's notice intact), open-licence fonts, emoji images, a speech-recognition engine and audio tools. Those components are licensed under their own terms, which are reproduced in the notices shipped with the Product or in the component's own file. Nothing in this EULA limits the rights those licences give you for those components.

A7. Updates and support

Updates and minor new versions, when provided, are delivered via Gumroad and are covered by your existing licence. To the extent permitted by law, we may add to, change, suspend, or discontinue any feature or update at any time without liability. Major new versions may be offered as separate products, which may be paid, and are not covered by this licence. To the extent permitted by law, we do not guarantee any specific update, feature, or ongoing compatibility (see A10). Nothing in this section limits your statutory rights as a consumer, including your right to digital content that conforms to the contract and to the updates needed to keep it in conformity.

No support obligation. The Products are provided on a self-service basis. Any support, bug-fixing, or assistance, including through an in-panel "Report a bug" feature or email, is given entirely at our discretion, with no guaranteed response time, resolution, or remedy. A bug-report channel is a way to send us information, not a promise that an issue will be addressed.

A8. Term and termination

This licence is effective until terminated. It terminates automatically if you breach it. We may also terminate it immediately if we reasonably suspect fraud, a chargeback, chargeback abuse, licence-key sharing, or any other violation of these terms. On a refund or chargeback, the licence for that purchase is void. On termination you must stop using and delete all copies of the Software. The sections on restrictions, ownership, termination, warranty, liability, governing law and general terms (A4, A5, A8, A10, A11, A14 and A15) survive termination.

A9. Network use and privacy

A Product connects to external servers only for:

  • licence validation: checking a licence key on activation and periodically thereafter, for Products that use a key;
  • downloads you start yourself, as described in that Product's section; and
  • a bug report, only when you choose to open the bug-report form. The technical details the form is pre-filled with are shown to you and reach the form's provider when the form opens; the rest of your report is sent only when you submit it.

Who receives data.

  • Gumroad receives your purchase or download details and, during a licence check, the licence key, the Product's ID and, like any server, your IP address. A key that does not match the full Product is also checked against that Product's trial, where there is one.
  • Hugging Face (Caption Jack only) serves a speech-recognition model when you ask Caption Jack to download one. Like any download, it sees your IP address.
  • Google Forms receives the pre-filled technical details when you open the bug-report form, and your report when you submit it. Caption Jack, Jack's Litterbox and Jack's Smooth Sailing open the form in your browser.

Jack's Favourites does not connect to any server.

For Products that use a key, the licence status is stored locally on your computer: in the Product's user-data folder, and in the registry on Windows or the preferences on macOS.

No telemetry, usage data, or content from your projects is collected, tracked, or transmitted. Diagnostic logs stay on your computer. The only personal data that reaches us is the email address tied to your Gumroad purchase or download (handled by Gumroad as merchant of record) and anything you choose to include in a bug report. We do not collect, sell, or share anything else.

A10. Disclaimer of warranty

TO THE EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. To the same extent, we do not warrant that it is error-free or uninterrupted, or that it will work with every version or future version of Adobe Premiere Pro or your operating system, and we are not responsible for incompatibility or loss of functionality arising from updates, changes, or deprecations made by Adobe to Adobe Premiere Pro or its extension ecosystem, or by your operating system. Nothing in this section limits your statutory rights as a consumer, including your right to digital content that conforms to the contract and to the updates needed to keep it in conformity.

A11. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability for any claim relating to a Product is limited to the amount you paid for that Product. We are not liable for indirect, incidental, special or consequential damages, or for lost data, profit or work. Nothing limits liability that cannot be limited under mandatory law (e.g. intent, gross negligence, or mandatory consumer rights).

A12. Consumers and the EU right of withdrawal

If you are a consumer, your mandatory statutory rights are unaffected by this EULA, and nothing in it asks you to give any of them up. The Products are digital products supplied immediately on purchase. If you are an EU/EEA consumer, your statutory right of withdrawal applies as the law provides. In addition to any statutory right, we offer everyone who paid for a Product the voluntary 14-day refund window in A13. Both apply.

A13. Sales channel (Gumroad) and refunds

Purchases and downloads are processed by Gumroad, which acts as merchant of record and handles payment and applicable VAT/sales tax. They are also subject to Gumroad's Terms of Service and refund policy. This EULA governs the licence grant, restrictions and use of the Software between you and us; in case of conflict on those matters, this EULA prevails. We do not control Gumroad's platform rules.

Refunds. For any payment you made for a Product, you can request a refund within 14 days of purchase, for any reason. Refunds are processed by Gumroad, and a refund voids the licence for that purchase (see A8). This window is in addition to any mandatory consumer rights you have (see A12). It never replaces or limits them.

A14. Governing law

This EULA is governed by the laws of the Licensor's country of residence. Disputes are subject to the competent courts of that country, without prejudice to the mandatory consumer-protection rules of your country of residence.

A15. General

  • Indemnity. To the extent permitted by law (and excluding what cannot be imposed on a consumer under mandatory law), you will indemnify and hold us harmless from claims, damages and costs arising from your use of a Product, or from content you create or import with it that infringes a third party's rights.
  • Entire agreement and severability. This EULA is the entire agreement on its subject matter and supersedes prior understandings. If any provision is held invalid, the rest remains in force, and, where the law allows, the invalid part is replaced by the closest valid equivalent.
  • No waiver. Our failure to enforce a right is not a waiver of it.
  • Assignment. We may assign or transfer this EULA (e.g. on a sale of the business); you may not assign or transfer it.
  • Versions. We may publish new versions of this EULA. Each version is published at its own fixed address and is not changed afterwards. If you accepted an earlier version, that version continues to govern your existing licence. A later version applies to you only once you have accepted it, for example when you activate a Product, or download or install one that needs no activation.

A16. Contact

Questions, licence issues and bug reports: use the "Report a bug" form inside the Product's panel where it has one, or email captionjackapp@gmail.com.

Part B — Product sections

B1. Caption Jack

What it is. An extension that transcribes speech and places styled, animated captions on your Premiere Pro timeline, using bundled Motion Graphics Templates.

Licence. A licence key obtained via Gumroad, paid or free (see A3), on the terms in A2 (one user, up to 2 computers).

What the installer changes. It installs the bundled open-licence fonts for the whole computer, which the font-based presets use; this may ask for administrator permission. On a Mac, it also installs Caption Jack for all users of the computer and turns on PlayerDebugMode (A6) for every user account on it.

Free trial. A trial key lets you try the complete product free for 7 days from when the key is issued. When the trial is over, Caption Jack stops working until you activate a licence key. A trial is meant to be used once per person; we may refuse a further trial on a computer that has already used one.

Transcription runs on your computer. Your audio and transcripts are not sent anywhere. If you choose a speech-recognition model that is not bundled, Caption Jack downloads that model from Hugging Face when you ask it to. This is the only download in the sense of A9 that Caption Jack makes.

Check your captions. Automatic transcription can mishear, misspell or mistime words. Review your captions before you publish. You are responsible for your published work, and, to the extent permitted by law, we are not liable for any loss arising from transcription errors (see A10 and A11).

B2. Jack's Litterbox

What it is. An extension that places social-media "safe zones" and composition guides on your timeline as overlays.

Licence. A licence key obtained via Gumroad, paid or free (see A3), on the terms in A2 (one user, up to 2 computers).

Platform names and logos. Platform names and logos shown in the panel or on the overlays are trademarks of their respective owners, used only to identify the platform; no affiliation or endorsement is implied.

The overlays are guidance, not a guarantee. Platform safe-zone specifications change over time and vary by device, app version, and placement. The values shipped with the Software are compiled on a best-effort basis and may be incomplete or out of date. We may update the values in later versions, but we do not promise to do so, or to do so promptly, when a platform changes (see A7). The overlays are an aid to framing, not a guarantee that any area will or will not be covered by a platform's interface. Always review your final export on the target platform before publishing. We do not warrant that the safe-zone values are accurate or current, and, to the extent permitted by law, we are not liable for any loss arising from reliance on the overlays (see A10 and A11).

On a Mac. The installer installs Jack's Litterbox for all users of the computer, which asks for administrator permission, and removes an older copy that was installed for a single user.

B3. Jack's Smooth Sailing

What it is. An extension that writes ("bakes") keyframes into your sequence.

Licence. A licence key obtained via Gumroad, paid or free (see A3), on the terms in A2 (one user, up to 2 computers). A key found to be shared may be deactivated.

Your project is your responsibility. Always review the result and keep a backup of your project. "Undo this apply" in the panel is designed to revert an Apply and to keep your original two keyframes.

B4. Jack's Favourites

What it is. A free extension that places stickers (bundled emoji or your own images and videos) on your timeline.

Free, no licence key. Jack's Favourites is offered on a pay-what-you-want basis starting at zero, and needs no licence key or activation. You may install it on computers you own or control, for your own work or your organisation's work (including commercial work). It does not connect to any server. If you choose to pay for it, the refund terms in A13 apply to that payment; if you paid nothing, there is nothing to refund (see A3).

Bundled emoji. The bundled emoji images are Noto Color Emoji, © Google LLC, licensed under the SIL Open Font License 1.1. See the third-party notices shipped with the Product (A6).

Your own stickers. You are responsible for having the rights to the images and videos you import and place.

Sharing. Within your organisation, you may copy the installer to the computers covered above. To share Jack's Favourites with anyone else, share its official Gumroad page, so that everyone gets the latest version. Passing on or redistributing the installer outside your organisation is not permitted (A4).

© Orange Man. This EULA is linked on each Product's Gumroad page, so you can read it before you buy or download. You accept it when you activate a Product or, for a Product that needs no activation, when you download or install it. If you accepted an earlier version, that version continues to govern your existing licence (A15).
